These Terms of Service (“Terms”) govern access to and use of SCULT STUDIO (“Studio,” “the Service”), operated by SCULT (“SCULT,” “we,” “us,” or “our”). Studio is an invite-only platform: it is used internally by SCULT’s team to manage clients, projects, invoices, and proposals, and it provides a client portal so SCULT’s own clients can view their own project status, invoices, proposals, and files. By signing in to Studio, you agree to these Terms.
1. Acceptance of Terms
By creating a session with Studio (via Google Sign-In) you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not sign in to or otherwise use Studio.
2. Eligibility and Accounts
Studio is not open for public sign-up. Access is granted individually by a SCULT super admin, either as an Admin (a SCULT team member) or as a Client Portal User (a named contact at a client organization, tied to that organization’s records only). You may only sign in using the Google account associated with the exact email address that was granted access. You are responsible for maintaining the security of that Google account, and for all activity that occurs under your Studio session.
You must notify us promptly if you become aware of any unauthorized use of your account, or if your access should be revoked (for example, because you have left the client organization or SCULT’s team).
3. Acceptable Use
You agree not to:
- Access or attempt to access data, accounts, or organizations other than your own, or attempt to circumvent Studio’s access controls.
- Use Studio to upload or transmit unlawful, infringing, defamatory, or malicious content.
- Attempt to probe, scan, disrupt, or overload Studio’s infrastructure, or reverse-engineer any part of the Service.
- Share your sign-in access with anyone else, or use Studio on behalf of an organization you are not authorized to represent.
- Use any automated means (bots, scrapers) to access Studio outside of the features we explicitly provide for that purpose.
We may suspend or terminate access for any account that violates this section.
4. Additional Terms for Client Portal Users
If you access Studio as a Client Portal User, your access is limited to your own organization’s projects, invoices, proposals, and files, as made visible to you by SCULT. Content you submit through the portal — written or voice feedback, and any files you upload — is provided to SCULT for the purpose of the engagement between your organization and SCULT, and may be visible to SCULT team members working on your account.
Financial documents (such as invoices) shown in the portal are provided for your information and do not themselves constitute a modification of any separate written agreement between your organization and SCULT.
5. Intellectual Property
Studio’s software, design, branding, and underlying technology are the property of SCULT and are protected by applicable intellectual property laws. These Terms do not grant you any right to use SCULT’s name, logos, or trademarks. You retain ownership of any content and files you upload to Studio; by uploading content, you grant SCULT a license to store, process, and display that content solely as needed to provide the Service to you.
6. Confidentiality
Business information you can see in Studio — including client details, project scope, pricing, proposals, and financial records — is confidential. You agree to use it only for the purpose for which access was granted, and not to disclose it to any third party without authorization.
7. Disclaimers and Limitation of Liability
Studio is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
To the maximum extent permitted by law, SCULT and its team shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising out of or related to your use of, or inability to use, Studio.
8. Termination
We may suspend or terminate your access to Studio at any time, with or without notice, including if you violate these Terms, if your relationship with SCULT (as a team member or as a client) ends, or if we discontinue the Service. Sections of these Terms that by their nature should survive termination (including confidentiality, intellectual property, and limitation of liability) will survive.
9. Changes to the Service or These Terms
We may modify, suspend, or discontinue any part of Studio at any time. We may also update these Terms from time to time; the “Last updated” date above will reflect the most recent revision. Continued use of Studio after changes take effect constitutes acceptance of the revised Terms.
10. Governing Law
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of Studio will be subject to the exclusive jurisdiction of the courts located in India.
